Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and AthleticOps, a sole proprietorship operated by Timothy Wagner Jr. ("Company," "we," "us," or "our"), with principal place of business in Blount County, Tennessee, concerning your access to and use of the AthleticOps platform and services (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date and, for significant changes, by email or prominent notice on the Service. Your continued use after such changes constitutes acceptance of the updated Terms.

Eligibility and Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. If you are using the Service on behalf of an organization (such as a school or sports organization), you represent that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Accounts for Minors

Accounts for users under 18 must be created and managed by authorized adults (parents, guardians, or school officials). By creating an account for a minor, you represent that you have the legal authority to do so and agree to supervise their use of the Service.

Permitted Use and Restrictions

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose of managing athletic operations.

Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use any automated system (bots, scrapers, etc.) to access the Service without our written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove, alter, or obscure any proprietary notices on the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Harass, abuse, threaten, or intimidate other users
  • Collect or harvest personal information about other users without their consent
  • Use the Service to send spam or unsolicited communications
  • Upload content that infringes intellectual property rights

Role of Service

The Service is an administrative and communication tool only. AthleticOps does not control, supervise, or make decisions about practices, games, events, or other activities scheduled or managed through the Service.

Limitations of Our Role

We are not responsible for:

  • Safety protocols, medical decisions, injury prevention, or emergency response
  • Player eligibility determinations, compliance with league rules, or governing body regulations
  • On-field coaching decisions, practice planning, or game management
  • Verification of permissions, waivers, parental consents, or other legal authorizations
  • Background checks, screening, or vetting of coaches, volunteers, or participants
  • Accuracy or completeness of information entered by users

These responsibilities remain with the school, organization, coaches, parents, and participants using the Service. You acknowledge that AthleticOps is solely a software platform and does not provide athletic program management, coaching, supervision, or safety services.

User Content

Your Content

The Service allows you to create, upload, and share content, including team rosters, schedules, event information, and communications ("User Content"). You retain ownership of your User Content.

License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to provide and improve the Service. This license ends when you delete your User Content or account, except where retention is required by law or for legitimate purposes.

Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any laws, regulations, or third-party rights
  • Your User Content does not contain offensive, harmful, or inappropriate material
  • You have obtained necessary consents for any personal information in your User Content

Content Moderation

We reserve the right (but have no obligation) to monitor, review, edit, or remove any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

Intellectual Property Rights

Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of AthleticOps and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Trademarks

"AthleticOps" and our logos are trademarks of AthleticOps. You may not use our trademarks without our prior written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, royalty-free right to use, modify, and incorporate such Feedback into the Service without compensation or attribution.

Data Privacy and Security

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Educational Records (FERPA)

For U.S. educational institutions, we acknowledge that certain information in the Service may constitute "education records" under the Family Educational Rights and Privacy Act (FERPA). We act as a "school official" and agree to:

  • Use education records only for legitimate educational purposes
  • Maintain the confidentiality of education records
  • Not disclose education records without appropriate authorization
  • Return or destroy education records upon request or contract termination

Data Security

We implement reasonable security measures to protect your information. However, no system is completely secure. You acknowledge that you use the Service at your own risk.

Beta/Pilot Program Status

The Service is currently in a pilot/beta phase of development and deployment. During this period, you acknowledge and agree that:

  • Features, functionality, and user interfaces may change, be added, or removed without prior notice
  • There may be interruptions, errors, bugs, or data loss that affect your use of the Service
  • We may reset, modify, or restructure data as needed for development and testing purposes
  • No service level agreements (SLAs), uptime guarantees, or performance commitments apply during the beta/pilot phase
  • Support may be limited and response times may vary

We will provide reasonable notice of material changes that significantly affect your use of the Service. We appreciate your patience and feedback as we develop and improve AthleticOps.

Important: Because this is a beta/pilot service, you should not rely on it as your sole system for critical information. We recommend maintaining backup records of important data outside of AthleticOps.

Subscription and Payment

Subscription Plans

Access to certain features may require a paid subscription. Subscription plans, pricing, and features are described on our website and may change with notice.

Billing and Payment

  • Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan)
  • You authorize us to charge your payment method on file
  • You are responsible for providing valid payment information and maintaining sufficient funds
  • Subscription fees are non-refundable except as required by law

Free Trials

We may offer free trials. At the end of the trial period, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends.

Cancellation

You may cancel your subscription at any time. Cancellation is effective at the end of your current billing period. You will continue to have access until that date.

Termination

Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • At our discretion for any other reason

Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • Provisions of these Terms that by their nature should survive will survive termination

Disclaimers and Warranties

As-Is Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Warranty

We do not warrant that:

  • The Service will be uninterrupted, timely, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements

Third-Party Content

The Service may contain links to third-party websites or services. We do not endorse or assume responsibility for any third-party content, and your use of such content is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATHLETICOPS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID US ANY AMOUNTS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless AthleticOps and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@timwagnerjr.com. We will attempt to resolve the dispute informally.

Arbitration Agreement

If we cannot resolve the dispute informally, you agree that any dispute arising from these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if they qualify.

You and AthleticOps agree to waive the right to a trial by jury and to participate in class actions.

Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

General Provisions

Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Blount County, Tennessee.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and AthleticOps regarding the Service.

Waiver and Severability

Our failure to enforce any provision of these Terms will not constitute a waiver. If any provision is found unenforceable, the remaining provisions will remain in effect.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Notices

We may provide notices to you via email, postal mail, or postings on the Service. You consent to receive communications from us electronically.

Export Compliance

You may not use or export the Service except as authorized by U.S. law and the laws of the jurisdiction in which the Service was obtained. You represent that you are not on any U.S. government list of prohibited or restricted parties.
